- All prices are displayed in US Dollars (USD) unless otherwise specified.
- Payments are processed securely through Stripe. By making a payment, you also agree to Stripe's terms of service.
- Full payment is required before project commencement unless otherwise agreed in writing.
- Prices are subject to change with reasonable notice for new engagements.
4.3 Token-Based Usage (Where Applicable)
Some services may involve usage-based pricing calculated on AI tokens (input and output). Token consumption details and pricing will be clearly communicated before service activation.
5. Project Delivery and Timeline
5.1 Deliverables
For each project, we will provide:
- A clear scope of work before project initiation.
- Regular progress updates during development.
- Defined deliverables as agreed in the project scope.
- Training and documentation for implemented solutions.
5.2 Client Responsibilities
To ensure successful project delivery, you agree to:
- Provide timely access to necessary systems, accounts, and information.
- Designate a point of contact for project communication.
- Respond to requests for information or approval within reasonable timeframes.
- Provide accurate business data and requirements.
5.3 Delays
Project delays caused by client unresponsiveness, changing requirements, or failure to provide necessary access may result in revised timelines and potentially additional costs.
6. Intellectual Property
6.1 Your Content and Data
- You retain all rights to your business data, content, and materials that you provide to us ("Client Content").
- You grant us a limited license to use Client Content solely for providing the Services.
- We will not use your Client Content to train general AI models or share it with third parties except as necessary to deliver the Services.
6.2 Our Intellectual Property
- JalIA retains ownership of all proprietary tools, methodologies, frameworks, and pre-existing intellectual property used in delivering the Services.
- Upon full payment, you receive a non-exclusive, non-transferable license to use the deliverables created specifically for your project.
- Source code, configurations, and documentation created for your project will be transferred to you upon project completion and full payment.
6.3 Third-Party Components
Our solutions may incorporate third-party services and platforms (e.g., WhatsApp Business API, Facebook Messenger, etc.). Your use of these components is subject to the respective third-party terms and conditions.
7. Confidentiality
Our Commitment
We treat all client information as confidential. We will not:
- Share your business data with third parties except as required to provide the Services.
- Use your data to improve or train general-purpose AI systems without your explicit consent.
- Disclose your project details publicly without your permission.
Confidential information does not include information that:
- Is or becomes publicly available through no fault of ours.
- Was known to us before receiving it from you.
- Is independently developed by us without use of your confidential information.
- Is required to be disclosed by law.
8. Data Security

- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
- WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
- WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED OUTPUTS.
10.3 AI-Specific Disclaimers
You acknowledge and understand that:
- AI systems may produce unexpected or incorrect outputs.
- AI agents require ongoing monitoring and may need adjustments over time.
- Results may vary based on your specific use case, data quality, and user interactions.
- Statistics and results cited (such as "30% increase in conversions") are based on case studies and may not be representative of your results.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- JALIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
- JALIA'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
- THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).
12. Indemnification
You agree to indemnify, defend, and hold harmless JalIA and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services.
- Your violation of these Terms.
- Your violation of any third-party rights.
- Your Client Content or business practices.
13. Termination
13.1 Termination by You
You may terminate your engagement with us at any time by providing written notice. For ongoing services, termination will be effective at the end of the current billing period.
13.2 Termination by Us
We may suspend or terminate your access to the Services if:
- You breach these Terms.
- Your payment is overdue.
- We are required to do so by law.
- Your use poses a security risk or may harm other users.
13.3 Effect of Termination
- Upon termination, your right to use the Services will immediately cease.
- We will provide you with your data and project deliverables (for paid projects) within 30 days of termination.
- After 60 days, we may delete your data from our systems.
- Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.
14. Refund Policy
- Refund requests must be submitted within 14 days of payment for projects not yet started.
- For projects in progress, refunds will be prorated based on work completed.
- Custom development work that has been completed is non-refundable.
- Refund decisions are made at our reasonable discretion.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to contact us first to attempt to resolve the dispute informally. Most disputes can be resolved through good-faith discussion.
15.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Mexico, without regard to conflict of law principles.
15.3 Jurisdiction
Any disputes arising from these Terms or the Services that cannot be resolved informally shall be submitted to the competent courts in Mexico City, Mexico.

- Sending notice to active clients for significant changes.
Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

17.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
17.5 Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
